These Terms of Service ("Terms") govern your use of the services provided by smartedge GmbH ("smartedge," "we," "us," or "our"), a fitness studio located at Taborstraße 110, 8055 Graz, Styria, Austria. By using our services, you agree to be bound by these Terms.

Acceptance of Terms

By accessing our facilities, participating in our training programmes, or using our services in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use our services. These Terms constitute a legally binding agreement between you and smartedge.

Services Description

smartedge provides boutique cross-training and fitness services, including but not limited to group classes, personal training sessions, strength training programmes, and access to our fitness facilities. All services are provided subject to availability and may be modified or discontinued at our discretion with reasonable notice to members.

Membership and Payment Terms

Membership fees and payment terms are as follows:

• Monthly memberships are billed in advance and automatically renewed
• Personal training sessions must be paid in advance or at the time of booking
• Drop-in sessions are payable at the time of attendance
• All fees are non-refundable unless otherwise specified
• We reserve the right to adjust pricing with 30 days' written notice
• Failure to pay fees may result in suspension or termination of services

User Obligations and Conduct

As a user of our services, you agree to:

• Provide accurate and complete health information and disclose any medical conditions
• Follow all safety guidelines and instructions provided by our trainers
• Respect other members, staff, and the facility
• Use equipment properly and report any damage or safety concerns
• Maintain personal hygiene standards appropriate for a fitness environment
• Cancel appointments with at least 24 hours' notice to avoid charges
• Comply with all applicable laws and regulations whilst on our premises

Health and Safety

You acknowledge that physical exercise involves inherent risks and that you participate in our programmes at your own risk. You represent that you are physically capable of participating in fitness activities and have consulted with a healthcare provider if necessary. You agree to immediately inform our staff of any injuries, health conditions, or concerns that may affect your ability to exercise safely.

Intellectual Property

All content, materials, training programmes, methodologies, and intellectual property provided by smartedge remain our exclusive property. You may not reproduce, distribute, modify, or create derivative works from our proprietary content without express written permission. The smartedge name, logo, and branding are protected trademarks and may not be used without authorisation.

Privacy and Data Protection

Your privacy is important to us. The collection, use, and protection of your personal information is governed by our Privacy Policy, which forms an integral part of these Terms. By using our services, you consent to the processing of your personal data as described in our Privacy Policy and in accordance with applicable data protection laws, including the General Data Protection Regulation (GDPR).

Limitation of Liability

To the maximum extent permitted by Austrian law, smartedge shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from your use of our services, including but not limited to personal injury, property damage, or loss of profits. Our total liability to you for any claims shall not exceed the amount of fees paid by you to smartedge in the 12 months preceding the claim. This limitation applies regardless of the legal theory upon which the claim is based.

Indemnification

You agree to indemnify, defend, and hold harmless smartedge, its officers, directors, employees, and agents from any claims, damages, losses, costs, or expenses (including reasonable legal fees) arising from your use of our services, violation of these Terms, or infringement of any third-party rights.

Governing Law

These Terms are governed by and construed in accordance with the laws of Austria. Any disputes arising from these Terms or your use of our services shall be subject to the exclusive jurisdiction of the courts of Graz, Austria. If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

Termination

Either party may terminate the service relationship at any time with appropriate notice. Monthly memberships may be cancelled with 30 days' written notice. We reserve the right to immediately terminate or suspend your access to our services for violation of these Terms, non-payment of fees, or behaviour that we deem inappropriate or harmful to other members or staff. Upon termination, all outstanding fees become immediately due and payable.

Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated to members via email or posting on our website at least 30 days before they take effect. Your continued use of our services after the effective date of any modifications constitutes acceptance of the updated Terms. If you do not agree to the modifications, you must discontinue use of our services.

Entire Agreement

These Terms, together with our Privacy Policy and any additional agreements you may enter into with smartedge, constitute the entire agreement between you and smartedge regarding the use of our services. These Terms supersede all prior or contemporaneous communications and proposals, whether oral or written, between you and smartedge.
